Statement of Work — OpenClaw Standard · Founding-Client Pricing

1. What You're Buying

A complete OpenClaw AI workforce running on your Mac Studio M4 Max (36 GB) with secure, private access to the CertiHomes GPU cluster for any workload too heavy for your machine. Three CEO agents — one per venture — with their own mission, voice, memory, and approval loops. You see everything, approve everything, own everything.

This is our "OpenClaw Standard" tier, priced as the founding-client discount (see §7).


2. Phases, Deliverables, Acceptance Tests

Phase 1 · Foundation (Weeks 1–2) — $2,000 deposit / $2,000 on sign-off

Scope

  • Install on Mac Studio M4 Max: Qwen 2.5 32B (MLX) + Qwen 2.5 7B (MLX) + Whisper medium (MLX) + Nomic embeddings + LanceDB vector store
  • Tailscale mesh to geo.tlcengine.com and geo2.tlcengine.com — unlocks Hermes 4 70B, ComfyUI, virtual staging, F5-TTS/LivePortrait/Kokoro TTS
  • OpenClaw file-tree scaffold per venture: identity/, mission.md, soul.md, memory.md, lessons.md, mistakes.md, decisions.md, search-history.md, daily/YYYY-MM-DD.md
  • Security baseline: Little Snitch firewall allow-list, age-encrypted secrets, Time Machine verified, external 2TB NVMe symlinked if client has purchased
  • Claude Code 2.0 + Agent SDK installed and authenticated

Acceptance test Jed runs openclaw status → sees all three venture silos green, local model responding, remote cluster reachable via Tailscale, firewall logging, backup running.

Phase 2 · Persona + Deep Learning (Weeks 3–4) — $1,000 deposit / $1,000 on sign-off

Scope

  • 3-hour structured persona interview per venture (9 hours total) — origin story, buyer, voice on best day / worst day, 10 banned words, 3 signature words, competitors respected / disliked, one embarrassing thing
  • SOUL file + brand DESIGN.md co-authored per venture — Jed redlines until he says "that's my Shred"
  • Plaud backlog ingested and indexed into LanceDB
  • Top-20 influencer scrape per vertical (60 profiles total), analyzed and summarized into lessons.md
  • Archetype locked per venture
  • Prompt library v1 — starter prompt for every repetitive task per venture

Acceptance test Jed reads each SOUL file end-to-end and signs off that it sounds like his brand on its best day.

Phase 3 · Mission Control + Go-Live (Weeks 5–6) — $1,000 deposit / $2,000 on sign-off

Scope

  • Mission Control Next.js app installed locally on M4 Max
  • 7 panels live: Task Board · Calendar · Projects · Memory · Docs · Team · Office
  • Discord command center: one channel per venture + #system + #team (Anthony + Krish)
  • Telegram approval bot — 60-day mandatory approval queue (non-negotiable: every public post needs Jed's ✓)
  • Six MCP servers installed and sandboxed per venture: Plaud (direct — not via Pin), Playwright, Canva, Claude Design, Monitor, Video-Edit
  • Overnight A/B experiment loop per venture (scheduled jobs, results to Mission Control)
  • Skill Guard scanner active — every skill install runs through malware + sandbox before touching the machine
  • Two 60-minute live training sessions (screen-share, recorded, indexed in Mission Control)

Acceptance test Jed runs a full week with the approval queue active. Every scheduled post triggers a Telegram ask, every decision writes to decisions.md, Jed can @mention any CEO in Discord and get its reasoning.

Total setup across phases: $8,000 — non-refundable after Phase 1 kickoff.


3. Phase 4 · Retainer (Month 3 onward)

$750 / month, billed on the 1st.

Includes:

  • 150M tokens / month on the CertiHomes cluster (Hermes 4 70B, Nomic embeddings, ComfyUI, virtual staging, voice cloning, HeyGen & Voicebox API quota)
  • Weekly health check — model updates, log review, persona tuning, backup verification
  • Up to 2 new MCP skills per month — scanned by Skill Guard, sandbox-tested, installed
  • Monthly audit report — app usage, token cost breakdown, skill inventory, 10% content spot-check
  • Monthly 30-minute check-in call
  • 4 hours of combined Anthony + Krish support per month — use-it-or-lose-it, no rollover
  • 24-hour email response SLA during business days
  • Overage support: $150 / hour, billed in 30-minute increments, month-end invoice
  • Token overage after 150M: $3 / million, metered, reported in monthly audit

30-day cancellation after the initial 6-month term. No lock-in thereafter.


4. Included Third-Party Access (via CertiHomes accounts)

These are normally separate subscriptions — Jed gets them bundled:

  • HeyGen — avatar video rendering (quota shared from our enterprise account)
  • Voicebox — high-fidelity voice cloning / TTS
  • OpenRouter — frontier-model fallback (Claude Opus, GPT-5, Gemini) for the ~15% of tasks the local 32B can't crack
  • Firecrawl — web scraping for influencer + competitor tracking
  • Brave Search — 2K queries / month pooled
  • GitHub (tlcengine org) — CEOs can open PRs on Jed's venture code repos
  • Context7 — live library documentation for agent tool calls

5. Not Included

To avoid surprises:

  • New ventures beyond Shred / FFF / Floor Cleaning. Each additional venture = separate $5,000 scope + adds to monthly token cap.
  • Shopify store theme build or redesign
  • Paid ad campaigns (Google / Meta / TikTok media spend)
  • Third-party subscriptions Jed already pays: Plaud, Canva Pro, Telegram, Shopify plans, Google Workspace
  • Outside security audit — we'll recommend auditors and coordinate, but auditor fee is passed through

6. Engagement Rules

  • No public posting without Jed's approval for the first 60 days minimum (the approval-queue gate). Non-negotiable.
  • Your data stays on your Mac. Embeddings, memory, daily logs never leave. Anything that runs on our cluster is processed and discarded — never trained on, never shared with other clients.
  • Kill switch: if Jed ever says stop, all CEOs halt within 5 minutes. Mission Control has the kill button.
  • We don't touch business APIs without Jed's keys. Anything that posts, emails, buys, or sells requires Jed-owned credentials in his 1Password — we never hold those.
  • Mistakes get logged (mistakes.md, per venture) — we read them monthly, you can too.

7. Founding-Client Pricing

Standard "OpenClaw Standard" pricing for this engagement is $19,500 setup + $2,250 / month (reflecting the ~$40K–$80K rebuild cost of the infrastructure stack included).

As the founding OpenClaw Standard client, Jed receives:

  • ~60% off setup: $8,000 vs. $19,500
  • ~67% off retainer: $750/mo vs. $2,250/mo
  • Locked pricing for the first 12 months

In exchange, Jed agrees to:

  1. Reference rights + case-study permission for anonymized metrics (nothing proprietary)
  2. 30-day advance notice before any price adjustment for Month 13+
  3. One public testimonial or short case study after Phase 3 go-live, if Jed is satisfied. If not satisfied, no obligation.

Note: the exact split across phase kickoffs/sign-offs adds to $8K setup even though the math here lands at $11K due to overlap; Anthony + Krish will adjust the schedule to total exactly $8,000. Target structure: 50% deposit per phase / 50% on acceptance, summing to $8K.

Wire / ACH to CertiHomes account — invoice per phase.


9. Term & Termination

  • Initial term: 6 months from Effective Date (covers Phases 1–3 plus 3 retainer months)
  • After initial term: month-to-month, 30-day written notice
  • Setup fee non-refundable after Phase 1 kickoff
  • Early termination during initial term: Jed owes all completed-phase fees plus 30-day retainer notice; any unused token pool zeroes out

10. Limitation of Liability

Services provided on best-effort infrastructure. CertiHomes AI Automation is not liable for downtime outside its reasonable control or for outages of third-party services (Shopify, HeyGen, Telegram, OpenAI, Stripe, etc.) used by or integrated for Jed. Maximum liability capped at fees paid in the current calendar month.


11. Acceptance

Signature below + payment of Phase 1 kickoff ($4,000) constitute acceptance of these terms.
